The National Conference of Commissioners on Uniform Laws and the American Law Institute proposed and approved amendments to Article 9 of the Uniform Commercial Code (UCC). The amendments include among other things, individual and organizational debtor naming conventions for financing statement purposes and updated forms. The amendments begin to go into effect starting on July 1, 2013. State-by-state adoption (and lack thereof) of the amendments has been anything but “uniform”, resulting in substantial confusion and difficulty in developing compliant implementation strategies.
The document, *Ready or Not, Here We Come examines the material components of the amendments along with non-uniform nuances of state-by-state adoption and resulting timing complications. The document contains a reference table and download links to the UCC document versions that are appropriate for each state as of the date of this posting.
